Applies To: TEKPOLY.com and any TEKPOLY-operated websites, subdomains, mobile experiences, and related online services (collectively, the “Site” or “Services”).
These Terms of Service (the “Terms”) form a binding agreement between you (“you” or “your”) and TEKPOLY (“TEKPOLY,” “we,” “us,” or “our”) regarding your access to and use of the Site. All content on the Site — including text, graphics, logos, icons, images, audio and video clips, product designs, product photography, packaging, software, code, and the selection, arrangement, and “look and feel” of the Site (collectively, the “TEKPOLY Content”) — is owned by or licensed to TEKPOLY and is protected by U.S. and international intellectual property laws. “TEKPOLY,” the TEKPOLY logo, and other TEKPOLY product and service names are trademarks of TEKPOLY. All other trademarks appearing on the Site are the property of their respective owners. Except for the limited license granted in Section 2, nothing in these Terms transfers any right, title, or interest in the TEKPOLY Content to you.
If you send TEKPOLY questions, comments, suggestions, ideas, or other feedback about the Site or our products (“Feedback”), you grant TEKPOLY a worldwide, royalty-free, perpetual, irrevocable license to use and act on that Feedback for any purpose without restriction or compensation to you. You represent and warrant that you have the right to provide the Feedback and that it does not violate the rights of any third party or any applicable law.

TEKPOLY DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TEKPOLY, ITS PARENTS, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF USE, LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SITE, EVEN IF TEKPOLY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL TEKPOLY’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE EXCEED ONE HUNDRED U.S. DOLLARS ($100). SOME U.S. STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU.
To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless TEKPOLY and its parents, subsidiaries, affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (i) your access to or use of the Site; (ii) your Feedback; (iii) your violation of these Terms; or (iv) your violation of any applicable law or the rights of any third party.
TEKPOLY may suspend or terminate your access to all or part of the Site at any time and without prior notice, for any reason, including for suspected violation of these Terms or applicable law. Upon termination, the provisions of these Terms that by their nature should survive termination (including Sections 3, 4, 7, 8, 9, 11, and 12) will continue to apply.
These Terms and any dispute arising out of or relating to them or your use of the Site shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles.
Before initiating any formal proceeding, you agree to first contact TEKPOLY and provide a written description of the dispute, your contact information, and the relief you seek. The parties will attempt in good faith to resolve the dispute informally for a period of at least sixty (60) days before either party may initiate formal proceedings.
Subject to Section 11.2, the state and federal courts located in Delaware shall have exclusive jurisdiction and venue over any dispute arising out of or relating to these Terms or your use of the Site, and you consent to personal jurisdiction in those courts.
These Terms, together with the TEKPOLY Privacy Policy and the TEKPOLY Cookie Disclosure, constitute the entire agreement between you and TEKPOLY regarding the subject matter hereof and supersede any prior or contemporaneous understandings.
If any provision of these Terms is held unlawful, void, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.
TEKPOLY’s failure to enforce any right or provision shall not constitute a waiver of that right or provision.
You may not assign or transfer these Terms without TEKPOLY’s prior written consent. TEKPOLY may assign these Terms freely without restriction.
TEKPOLY shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, labor disputes, supply-chain disruptions, pandemics, or internet or utility outages.
TEKPOLY may update these Terms from time to time. Updates take effect on the “Effective Date” listed at the top of the then-current version posted on the Site. For material changes, we will provide additional notice where required by law. Your continued use of the Site after the Effective Date of updated Terms constitutes your acceptance of the updated Terms.
